Terms and Conditions

These terms govern your access to the DaqSense website, downloads, preview builds, paid licenses if offered, documentation, and desktop software.

1. Agreement

By accessing the website, downloading DaqSense, installing the software, or using any DaqSense materials, you agree to these Terms and Conditions. If you use DaqSense on behalf of a company, lab, school, or other organization, you represent that you have authority to accept these terms for that organization.

If you do not agree to these terms, do not use the website, downloads, or software.

2. Who We Are

DaqSense is operated from Ontario, Canada. In these terms, "DaqSense," "we," "us," and "our" refer to DaqSense. You can contact us at support@daqsense.com.

3. Preview Status

Some DaqSense releases may be marked as preview, beta, evaluation, design partner, or pre-release builds. Preview builds may contain bugs, incomplete features, changing file formats, limited platform support, and behavior that changes before a commercial release.

Do not use preview builds as your only system of record for important test data unless you have independently validated the workflow and accepted the risk.

4. License to Use DaqSense

Subject to these terms, DaqSense grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the software for evaluation or for the license tier you have purchased or otherwise been authorized to use.

You may not copy, resell, sublicense, rent, host, redistribute, modify, reverse engineer, bypass license controls, or create competing services from DaqSense except where allowed by law or by a written agreement with us. Open-source components included with DaqSense remain governed by their own license terms.

5. Paid Licenses, Renewals, and Taxes

If we offer paid licenses, the checkout page, order form, invoice, or written agreement will state the applicable price, term, renewal rules, seat limits, taxes, refund terms, and support level. Unless a separate written agreement says otherwise, fees are due when ordered and may be handled by a third-party payment processor.

Pricing shown on the website before launch or during preview may be preview pricing and may change before paid sales begin.

6. Your Data and Responsibilities

You keep ownership of the serial data, raw logs, parsed CSV files, run folders, profiles, formulas, calibration settings, screenshots, and other files you create or import with DaqSense.

DaqSense is a tool for capturing, parsing, and exporting test data. It does not replace engineering judgment, calibration procedures, hardware safety practices, quality systems, or regulatory compliance.

01Confirm the correct device, port, baud rate, profile, parser rules, calibration formulas, output path, and export format before relying on a run.
02Validate DaqSense output against known data before using it for engineering, quality, research, or production decisions.
03Maintain backups and retention controls for local databases, raw logs, parsed CSV files, exported run folders, and support files.
04Use DaqSense only with hardware and workflows that you are authorized and qualified to operate.

7. High-Risk and Safety-Critical Use

DaqSense is not designed for life-support systems, medical diagnosis or treatment, aviation, nuclear facilities, autonomous vehicle control, emergency systems, hazardous environments, or other safety-critical uses where failure could lead to death, personal injury, severe property damage, or environmental harm.

If you use DaqSense in a regulated, production, quality, or high-consequence environment, you are responsible for validation, redundancy, audit trails, procedures, and compliance controls appropriate for that environment.

8. Support

For preview and evaluation builds, support is provided on a reasonable-efforts basis through support@daqsense.com. We do not promise a specific response time, fix time, or support channel unless a paid plan or separate written agreement says so.

9. Feedback

If you send ideas, suggestions, bug reports, feature requests, or other feedback, you grant DaqSense a perpetual, worldwide, royalty-free license to use that feedback to improve, market, and commercialize DaqSense without owing compensation or attribution.

10. Ownership

DaqSense and its website, software, documentation, branding, designs, and related materials are owned by DaqSense or its licensors. Except for the limited license above, these terms do not transfer any intellectual property rights to you.

11. Third-Party Services and Links

DaqSense may link to or rely on third-party services such as release hosting, payment processors, email providers, documentation platforms, analytics providers if added, or open-source packages. We are not responsible for third-party services, websites, or license terms that we do not control.

12. Acceptable Use

You may not use DaqSense to break the law, violate others' rights, attack systems, distribute malware, interfere with the website or downloads, scrape in an abusive way, bypass usage or license controls, or misrepresent your relationship with DaqSense.

13. Disclaimers

To the maximum extent allowed by law, DaqSense is provided "as is" and "as available." We disclaim all warranties and conditions, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

DaqSense may produce incorrect output if hardware, firmware, serial settings, parser rules, calibration formulas, timestamps, file paths, or user inputs are incorrect. You are responsible for verifying results before relying on them.

14. Limitation of Liability

To the maximum extent allowed by law, DaqSense will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, replacement costs, or failure of hardware or test workflows.

To the maximum extent allowed by law, DaqSense's total liability for all claims related to the website, software, downloads, support, or these terms will be limited to the greater of CAD $100 or the amount you paid DaqSense for the affected product or service in the 12 months before the event giving rise to the claim.

15. Indemnity

If you use DaqSense on behalf of a business or organization, you agree to defend, indemnify, and hold DaqSense harmless from claims, damages, liabilities, costs, and expenses arising from your misuse of DaqSense, your violation of these terms, your data, or your hardware/test workflow.

16. Termination

You may stop using DaqSense at any time. We may suspend or terminate access to downloads, support, licenses, or services if you violate these terms, fail to pay applicable fees, create risk for DaqSense or others, or use the product unlawfully.

17. Privacy

Our Privacy Policy explains how we handle information. By using DaqSense, you acknowledge that policy.

18. Changes to DaqSense or These Terms

We may change DaqSense, stop offering preview builds, modify features, update pricing, or revise these terms. If we make material changes, we will update the date above and, where practical, provide notice through the website, release notes, product notices, or email.

19. Governing Law and Venue

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to any mandatory rights you may have under local consumer law, disputes will be handled in the courts located in Ontario, Canada.

If you are located in the United States or another jurisdiction, these terms do not limit rights that cannot be waived under the laws that apply to you.
